Welcome to TaskHarmony. These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Leetu Education Services Private Limited (CIN: U80904KA2018PTC111746), operating as TaskHarmony ("TaskHarmony," "we," "us," or "our").

By accessing or using the TaskHarmony service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the service.

2. Description of Service

TaskHarmony provides an AI-powered email management platform designed specifically for freight forwarding and logistics companies. Our service includes:

  • Automated email classification and routing
  • RFQ (Request for Quotation) processing and automation
  • Rate procurement from carrier APIs
  • Automated quotation generation and delivery
  • Customer analytics and business intelligence
  • Email inbox management for Gmail and Microsoft Outlook

3. Account Registration and Security

3.1 Account Creation

To use TaskHarmony, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Authorized Users

You may authorize employees or contractors to use the service on your behalf. You are responsible for their compliance with these Terms and for any actions they take using the service.

3.3 Email Account Connection

By connecting your email account (Gmail or Microsoft Outlook) to TaskHarmony, you grant us permission to access, read, modify, and send emails on your behalf as necessary to provide the service. You represent and warrant that you have the authority to grant such permission.

4. Acceptable Use

4.1 Permitted Use

You may use TaskHarmony only for lawful business purposes in the freight forwarding and logistics industry.

4.2 Prohibited Activities

You agree not to:

  • Use the service for any unlawful purpose or in violation of any applicable laws or regulations
  • Attempt to gain unauthorized access to the service, other accounts, or computer systems
  • Interfere with or disrupt the service or servers or networks connected to the service
  • Use the service to transmit spam, malware, or any harmful code
  • Reverse engineer, decompile, or disassemble any portion of the service
  • Remove, alter, or obscure any proprietary notices on the service
  • Use the service to compete with TaskHarmony or develop competing products
  • Share your account credentials with unauthorized third parties

5. Fees and Payment

5.1 Subscription Fees

TaskHarmony is offered on a subscription basis. Pricing and payment terms will be communicated to you separately and may vary based on your selected plan and usage.

5.2 Payment Terms

Unless otherwise agreed, subscription fees are due in advance. You authorize us to charge your designated payment method for all applicable fees.

5.3 Late Payment

If payment is not received when due, we reserve the right to suspend or terminate your access to the service until payment is received.

5.4 Refunds

Subscription fees are generally non-refundable except as required by law or as expressly stated in your subscription agreement.

6. Data and Privacy

6.1 Privacy Policy

Our collection and use of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

6.2 Your Data

You retain all ownership rights to your business data, email content, and customer information ("Your Data"). You grant us a limited license to access, process, and store Your Data solely to provide the service.

6.3 Data Security

We implement industry-standard security measures to protect Your Data. However, no system is completely secure, and we cannot guarantee absolute security.

6.4 Data Deletion

Upon termination of your subscription, we will delete Your Data within 30 days, unless retention is required by law or you request otherwise.

7. Intellectual Property

7.1 TaskHarmony Ownership

TaskHarmony and all related software, technology, documentation, and content (excluding Your Data) are the exclusive property of Leetu Education Services Private Limited and are protected by intellectual property laws.

7.2 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the service during your subscription period.

7.3 Feedback

If you provide feedback, suggestions, or recommendations about the service, we may use such feedback without any obligation to you.

8. Service Availability and Support

8.1 Service Uptime

While we strive to maintain high availability, we do not guarantee uninterrupted access to the service. We may perform scheduled maintenance or emergency updates that may temporarily affect availability.

8.2 Support

We provide customer support via email at support@taskharmony.co. Support hours and response times may vary based on your subscription plan.

8.3 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the service at any time with reasonable notice to you.

9. Term and Termination

9.1 Subscription Term

Your subscription begins when you complete registration and continues for the period specified in your subscription plan, unless terminated earlier in accordance with these Terms.

9.2 Termination by You

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation will be effective at the end of your current billing period.

9.3 Termination by Us

We may suspend or terminate your access to the service immediately if:

  • You breach these Terms
  • Your account is used for fraudulent or illegal activities
  • Payment is not received when due
  • We are required to do so by law

9.4 Effect of Termination

Upon termination, your right to use the service immediately ceases. We will delete Your Data within 30 days unless you request export or retention is required by law.

10. Disclaimers and Limitations of Liability

10.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 AI and Automation Disclaimer

TaskHarmony uses artificial intelligence and automation. While we strive for accuracy, we do not guarantee that email classifications, extracted data, or automated responses will be error-free or suitable for your specific needs. You are responsible for reviewing and verifying all automated outputs before relying on them for business decisions.

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TASKHARMONY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

11. Indemnification

You agree to indemnify, defend, and hold harmless TaskHarmony and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of:

  • Your use of the service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your Data or content you submit through the service

12. Third-Party Services

TaskHarmony integrates with third-party services including Gmail, Microsoft Outlook, carrier APIs, and other logistics service providers. Your use of these third-party services is subject to their respective terms and conditions. We are not responsible for the availability, accuracy, or performance of third-party services.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

13.2 Jurisdiction

Any disputes arising out of or related to these Terms or the service shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.

13.3 Dispute Resolution

Before initiating formal legal proceedings, parties agree to attempt to resolve disputes through good-faith negotiations. If negotiations fail, disputes may be submitted to binding arbitration in Bangalore, India.

14. General Provisions

14.1 Changes to Terms

We may modify these Terms from time to time. We will notify you of material changes by email or through the service. Your continued use of the service after such notice constitutes acceptance of the modified Terms.

14.2 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TaskHarmony regarding the service and supersede all prior agreements.

14.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14.4 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.5 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.
